These Terms and Conditions comprise the Samsung “Portrait Studio Sessions” (the “Activation”) which will give members of the public (the “Participants”) an opportunity to experience the camera features of the Samsung Galaxy Z Flip5 and Galaxy Z Fold5 devices by having their pictures (the “Picture(s)”) taken at the Samsung portrait studio (“Photo Studio”) set up at the Samsung store (the “Store”) located in Dubai Mall (the “Venue”).

GENERAL

• The Activation is available to all members of the public and shall take place at the Store from 27^th July till 31^st December 2023 (the “Activation Period”).
• This Activation is limited to Participants who are at the majority age under the United Arab Emirates applicable laws; and have the legal capacity to enter into these Terms and Conditions. Participants under the age of majority must be accompanied by a parent or legal guardian or provided the signed parental consent (attached herein) in order to participate in this Activation.
• Samsung will be entitled at its sole and absolute discretion to terminate or modify the Activation or to modify, vary, delete or add to any of these Terms and Conditions at any time prior to or during the Activation Period.

LIMITATION OF LIABILITY

• Samsung shall not be responsible for any event of damage, losses and/or injury of any kind whatsoever that may occur to any of the Participants as a result of their participation in the Activation.
• Samsung accepts no responsibility for any damage, loss, liabilities, injury or disappointment incurred or suffered by the Participants as a result of participating, or inability to participate in the Activation.
• Participants agree that he/she shall be solely responsible and liable to the Store and/or Venue for any damages that he/she may cause at any stage in relation to his/her participation in the Activation.
• The Participant in this Activation understands that Samsung will not be liable to him/her for any loss and/or damages of any kind whatsoever.

USE OF PICTURES

• Participants permit and consent and release the use of their Picture(s) under any legal use. Participants hereby grant Samsung all licenses and consents necessary for Samsung to film, photograph, record, store, distribute and broadcast their Picture(s) within the Photo Studio and/or their Participation in the Activation.
• Participants understand and acknowledge that their Picture(s) may appear on the screens and devices within the Photo Studio and social and digital channels managed or owned by Samsung, for promotional purposes during this Activation. The Picture(s) usage shall be limited to promotional purposes within the Samsung Photo Studio at the Store, and will not be used for any other purposes.
• Participants personal details (such as postal addresses, email, name or telephone numbers) will not be included on any website, printed materials or other marketing/promotional materials.

PAYMENT

• Samsung will not grant Participants any remuneration/payment for their agreement to pose for the Picture(s) and the licenses and rights granted to Samsung herein.

TIME PERIOD, IMAGE STORAGE:

• Participants licenses and rights granted to Samsung herein shall be valid for no more than five (5) months from the date of their Picture(s) being taken at the Photo Studio at the Store. All Picture(s) will remain on file for no more than five (5) months from the date of the Picture(s) being taken at the Photo Studio.

DIGITAL NEGATIVES, PRINT AND COPYRIGHT:

• All images and copyrights are the property of Samsung Gulf Electronics and/or Cheil MEA ("Photographer"), as applicable.
• Participants are entitled to the right to hold a copy of their Picture(s) taken at the Photo Studio.
• The Picture(s) being provided to Participants are licensed to Participants for any personal use, including but not limited to printing, copying, emailing, and web publishing.

GOVERNING LAW AND JURISDICTION

• Any dispute of whatever nature, which is directly or indirectly related to these Terms and Conditions or to the participation in the Activation, shall be governed by the laws of the United Arab Emirates and shall be resolved by the competent courts in the Emirate of Dubai, United Arab Emirates.
